The Code of Conduct we follow.

Purpose.

Clænsian is committed to the highest ethical standards in all its business dealings. Clænsian therefore expects that suppliers, contractors and consultants (collectively “Suppliers”) who supply goods or services to Clænsian and its controlled entities, will also act responsibly and ethically. This means their business dealings will be conducted with integrity and comply with all applicable laws, while demonstrating a willingness to uphold the values of Clænsian. This Supplier Code of Conduct (“Code”) sets out the minimum expectations of Supplier companies and supply chains in providing goods and services to Clænsian.

Our Philosophy.
The Clænsian mission is to be the world’s leading providore of a remedy that attends to the symptoms of hangovers; supporting our vision for the Clænsian to be recognised as a quality and respected brand.

Central to our vision are the Clænsian stated values of respect, integrity, client focus, persistence, collaboration, sustainability, transparency, and accountability in all that we do. To that end, Clænsian is committed to engaging in business with other likeminded persons and entities that align with our principles and values.

Our Expectations.

Clænsian seeks to demonstrate the highest levels of ethical conduct in all its business dealings. Clænsian does not tolerate dishonest, illegal or corrupt behaviour.

Clænsian Suppliers are expected to:

• Implement reasonable measures to prevent illegal activities, including all forms of bribery, corruption, and fraud;

• Maintain fair and professional standards of behaviour in their dealings with Clænsian;

• Conduct themselves in a manner that will not bring disrepute to Clænsian; and

• Avoid and/or declare any conflicts of Interest. Clænsian values integrity and transparency in all its business relationships.

Suppliers are expected to:

• Declare any benefit to Clænsian personnel and avoid providing money, gifts, or entertainment with the intention of influencing and/or obtaining unfair or improper advantages;

• Disclose any situation that raises an actual, potential, or perceived conflict of interest in relation to its dealings with Clænsian as soon as possible;

• Avoid any conflict of interest that could have the appearance of a conflict of interest in the business they conduct with Clænsian.

Diversity, Equity, and Inclusion.

Clænsian values diversity, equity, and inclusion (DEI) and strives for DEI in our workplace and throughout the value chains in which we operate. Clænsian seeks to eliminate all unlawful discrimination and bullying throughout its activities.

Clænsian Suppliers are expected to:

• Promote diversity, equity, and inclusion in their own workplaces; and

• Make reasonable efforts to prevent discrimination, harassment, and bullying whenever it is apparent.

Human Rights.

Clænsian seeks to uphold the International Labour Organisation’s (ILO) Core Conventions across its businesses. Clænsian Suppliers are expected to:

• Respect human rights and ensure they are not complicit in human rights abuses;

• Maintain a workplace environment that treats all employees and workers with dignity and respect;

• Satisfy workers’ entitlements in compliance with applicable laws and regulations of the applicable country, state, or province;

• Eliminate employment practices that discriminate based on a person’s cultural, ethnic, religious, gender, or other diversity factors;

• Allow freedom of association and collective bargaining;

• Comply with occupational health and safety laws and regulations; and

• Address human rights concerns and provide an effective remedy, if applicable.

Modern Slavery.

Clænsian believes that no one should be made to work through force or intimidation. Clænsian has zero tolerance for all forms of modern slavery, including forced or compulsory labour, trafficking in persons, debt bondage, and child labour. Clænsian Suppliers are expected to:

• Commit to the elimination of modern slavery within its business and supply chains;

• Establish due diligence programs to minimise the risks of modern slavery in its relationships with third parties;

• Notify Clænsian as soon as it becomes aware of any instances of human rights abuse taking place in its supply chain or in any part of its business; and

• Support Clænsian in meetings its obligations under any and all legislation in any country, state, or province pertaining to Modern Slavery.

Environment and Sustainability.

Clænsian is committed to achieving long-term success for our customers, the communities in which we operate and live, and the environment. Clænsian will preference Suppliers that manage the environmental impacts of their operations and supply chain. Clænsian Suppliers are expected to:

• Comply with all environmental protection laws and regulations; and

• Establish programs that seek to improve environmental sustainability, focusing on reduction of waste, greenhouse gas emissions, pollution, loss of biodiversity, and natural resources consumption as appropriate.

Raising Concerns.

Clænsian supports stakeholders in raising concerns about any aspect of this Code as it applies to Clænsian Suppliers, or their respective supply chains. Clænsian expects its Suppliers to:

• Establish grievance mechanisms that allow stakeholders to raise concerns; and

• Address concerns promptly and provide an effective remedy where appropriate.

Where there are serious concerns about noncompliance with the values Clænsian promotes or this Supplier Code, its employees, or by a Supplier, please contact Clænsian via the details below.

Clænsian has established a channel of communication through which concerns can be reported and subsequently investigated in accordance with Clænsian policies and procedures.

Examples of the concerns Suppliers are encouraged to raise with Clænsian include:

• Human Rights abuses including child labour and Modern Slavery;

• Corruption, unethical behaviour, theft, or other illegal activities; • Labour law breaches;

• Safety concerns;

• Breaches of Environmental laws or regulations;

• Breaches of this Supplier Code; and

• Discrimination or harassment.

Monitoring and Evaluation.

To assess adoption of this Code, Clænsian may request documentation from time to time that demonstrates Suppliers have met or have made efforts to meet the expectations herein. Clænsian may perform ongoing monitoring to ensure the principles and standards of the Code have been upheld.

Suppliers can report their concerns with meeting the expectations of this Supplier Code at any time. Clænsian will work with Suppliers to alleviate concerns wherever it is appropriate to do so. Clænsian may cease dealing with any Supplier that is found to have intentionally acted against the letter or spirit of this Code.

Suppliers are requested to acknowledge that they have read this Code. Clænsian reserves the right to determine its commercial relationships based on the standards and principles of this Supplier Code.
